Diegner Consulting UG (limited liability)

1. Scope
1.1. These General Terms and Conditions apply to all contracts between Diegner Consulting UG (limited liability), Steinfurt Local Court HR B 9580, and its customers, unless expressly agreed otherwise.
1.2. The services provided by Diegner Consulting UG include, in particular, consulting for fertility clinics, start-ups/succession planning, Fit for Future, services, coaching, and IVF insights.
1.3. Customers may be both entrepreneurs (§ 14 BGB) and consumers (§ 13 BGB).

2. Conclusion of contract
2.1. Contracts are concluded by accepting a written offer, by booking via online platforms, or by sending a binding declaration of acceptance by email.
2.2. By accepting an offer, the customer accepts these General Terms and Conditions.

3. Services
3.1. The specific scope of services is set out in the respective offer or order confirmation.
3.2. Changes or additions to the scope of services require a written agreement.

4. Remuneration and terms of payment
4.1. Depending on the agreement, remuneration is either on an hourly basis or at a flat fixed price.
4.2. All prices are net plus the applicable statutory value added tax, unless expressly stated otherwise.

4.3. Unless otherwise agreed, payments are due within 14 days of receipt of the invoice without deduction.

5. Cancellation and withdrawal
5.1. Consumers have a statutory right of withdrawal (see Section 355 of the German Civil Code (BGB)).
5.2. Otherwise, the statutory rights of withdrawal and termination apply.
5.3. In the event of appointment cancellations by the customer, Diegner Consulting UG reserves the right to charge a reasonable cancellation fee, provided that there is no legal reason for withdrawal.

6. Liability
6.1. Diegner Consulting UG shall be liable without limitation for intent and gross negligence.
6.2. In cases of slight negligence, Diegner Consulting UG shall only be liable for breaches of essential contractual obligations (cardinal obligations) and limited to foreseeable damage typical for this type of contract.
6.3. Liability for indirect damage, lost profits, or consequential damage is excluded, unless liability is mandatory by law (e.g., in the event of injury to life, limb, or health).

7. Confidentiality
7.1. Diegner Consulting UG undertakes to maintain confidentiality regarding all confidential information obtained in the course of the cooperation, in particular with regard to trade secrets and personal data.
7.2. This obligation shall continue to apply even after the contractual relationship has ended.

8. Data protection

9.2. If the customer is a merchant or a company within the meaning of the German Commercial Code (HGB), the exclusive place of jurisdiction is the Steinfurt Local Court.
9.3. For consumers, the statutory provisions on the place of jurisdiction apply.
Final provisions

10. Final provisions
10.1. Amendments or additions to these General Terms and Conditions must be made in writing.
10.2. Should any provision of these General Terms and Conditions be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.
